What a Georgia LLC actually costs (2026)

Georgia is one of the cheapest serious states to run an LLC — $100 to form, $60 a year to keep — with one administrative quirk that catches transplants: the annual registration is due in a fixed calendar window, January 1 to April 1, no matter when you formed.

summarize

The short answer

A Georgia LLC costs $100 to file, plus a $60/yr annual registration and a registered agent (~$125/yr) — about $285 in year one. Five-year cost: $400 in state fees acting as your own agent, or $1,025 with a typical $125/yr registered-agent service. Georgia's $60 registration also lets you prepay up to three years in one filing — a small feature almost no other state offers. Every figure on this page was verified against the official state source on August 8, 2026.

A fixed window, not an anniversary

Most states key your annual report to your formation anniversary. Georgia doesn't: every LLC's Annual Registration is due between January 1 and April 1, and a new LLC files its first one the calendar year after it forms — so an LLC formed in December owes its first registration within weeks, while one formed in January gets nearly fifteen months. The fee is $60 ($50 base plus the $10 service charge Georgia added in September 2025 — a change our fee audit found most national guides still haven't picked up). Miss April 1 and it's a $25 penalty; keep missing and administrative dissolution follows. Georgia also lets you prepay two or three years of registrations at once ($120/$180) — worth doing purely to retire the deadline risk.

The rest of the bill is quiet

Online formation is $100 (paper costs $110 — Georgia charges extra for making a human open an envelope). There's no franchise tax on a standard LLC; owners pay Georgia's flat 4.99% personal income tax (2026) on pass-through profits, and the corporate net-worth tax only touches LLCs that elect corporate taxation. LLCs are also exempt from the newspaper-publication requirement Georgia still imposes on corporations. Steady state: $60 a year, one deadline, done — among big Southeastern states, only Florida is comparably simple, and Georgia is cheaper.

Frequently asked questions

When is the Georgia LLC annual registration due?expand_more
Between January 1 and April 1 every year — a fixed calendar window for all LLCs, not tied to your formation date. Your first registration is due the year after formation: an LLC formed in December 2026 files by April 1, 2027. The fee is $60 ($50 plus a $10 service charge added in September 2025), with a $25 penalty after April 1. You can prepay up to three years at once.
How much does it cost to start an LLC in Georgia?expand_more
$100 filed online, $110 by paper. Add nothing mandatory in year one — the first $60 annual registration isn't due until the following calendar year's January–April window. A registered-agent service adds about $125/yr, or $0 if you act as your own agent at a Georgia street address.
Does Georgia have a franchise tax on LLCs?expand_more
Not on a standard LLC. Georgia's corporate net-worth tax applies only if the LLC elects to be taxed as a corporation. Owners simply pay Georgia's flat personal income tax (4.99% for 2026) on pass-through profits, and the $60 annual registration is the only recurring state fee.
