A fixed window, not an anniversary
Most states key your annual report to your formation anniversary. Georgia doesn't: every LLC's Annual Registration is due between January 1 and April 1, and a new LLC files its first one the calendar year after it forms — so an LLC formed in December owes its first registration within weeks, while one formed in January gets nearly fifteen months. The fee is $60 ($50 base plus the $10 service charge Georgia added in September 2025 — a change our fee audit found most national guides still haven't picked up). Miss April 1 and it's a $25 penalty; keep missing and administrative dissolution follows. Georgia also lets you prepay two or three years of registrations at once ($120/$180) — worth doing purely to retire the deadline risk.
The rest of the bill is quiet
Online formation is $100 (paper costs $110 — Georgia charges extra for making a human open an envelope). There's no franchise tax on a standard LLC; owners pay Georgia's flat 4.99% personal income tax (2026) on pass-through profits, and the corporate net-worth tax only touches LLCs that elect corporate taxation. LLCs are also exempt from the newspaper-publication requirement Georgia still imposes on corporations. Steady state: $60 a year, one deadline, done — among big Southeastern states, only Florida is comparably simple, and Georgia is cheaper.
