$100 in, $60 a year, and a tax that only applies to Wyoming assets
Articles of Organization cost $100 on the Secretary of State's fee schedule (revised June 2026, effective July 1, 2026), and an LLC filed online is active immediately. From the second year, the annual report is due on the first day of your formation-anniversary month — form on May 15 and every report is due May 1 — and carries a license tax of $60 or $0.0002 per dollar of assets located and employed in Wyoming, whichever is greater. The state's own worked examples: $200,000 of Wyoming assets pays $60; $1,210,000 pays $242. An LLC whose assets sit in another state, which describes most Wyoming LLCs formed by non-residents, pays the $60 minimum indefinitely. Filing online adds a card-processing fee of 2.4% (minimum $1); printing the same report and mailing it costs nothing extra, and a report can be filed up to 120 days early. Wyoming levies no state income tax and no franchise tax, so for a Wyoming-based owner the $60 is genuinely the entire recurring state cost.
The second bill: Wyoming plus wherever you actually work
Wyoming's $160 first year is cheaper than almost any state you might be forming from — Texas's $300, California's $70 plus $800, Delaware's $110 plus $400. That comparison is the sales pitch, and it is the wrong comparison. An LLC that does business in another state must register there as a foreign LLC and pay that state's fees anyway; Wyoming's charges come on top, together with a second registered agent at ~$125 a year. Wyoming applies the same logic in reverse: an out-of-state entity doing business in Wyoming without a certificate of authority is liable for a $5,000 penalty plus back fees and license taxes with 18% interest, plus audit and attorney costs. Three lines carry the real lessons. A registered agent change is $5, so there is never a state-fee reason to stay with an agent you dislike. Losing your agent is the expensive failure: an LLC administratively dissolved for having no registered agent pays $350 to reinstate, three and a half times the tax-reinstatement fee, which is Wyoming's way of saying the agent requirement is the one it enforces hardest. And the expedite fees are not a typo — $700 and $1,400 — because the state's online formation is already instant; the expedite exists for mailed filings from out-of-state entities, and almost nobody forming an LLC should pay it.
What lapsing costs, and the two-year cliff
Wyoming's enforcement calendar is fast. Miss the annual report and the LLC is delinquent on the second day of the month after the due date; if the report is still unfiled 60 days after the due date, the state administratively dissolves the LLC. Reinstatement is $100 plus the missed reports and can be done online — but only for two years. The Secretary of State's FAQ is blunt: Wyoming statutes do not allow reinstatement after two years in administratively dissolved standing. After that the entity is gone, its name is available to anyone, and the only route is a new formation at $100 with a new file number, a new EIN, and whatever the bank thinks of that. The state sends courtesy email reminders 60, 30 and 10 days before the due date to the address on file; the practical advice is to make sure that address is one someone reads, or to use an agent who tracks the date. If you have simply stopped using the LLC, a $60 dissolution filed on purpose beats the free one the state imposes.
