Pennsylvania's registered office (not agent) and its brand-new annual report
Pennsylvania breaks the pattern twice. First, it has no registered agent. The state itself says so plainly: a CROP “is not the same as a Registered Agent… Pennsylvania does not” require one. Instead, your LLC must list a registered office — an actual Pennsylvania street address. If you don't have one, you contract with a Commercial Registered Office Provider (CROP), and the CROP's name appears on the filing in place of a street address. A CROP supplies an address, not legal agency — a subtle but real difference from the registered-agent systems in the other 49 states. Second, Pennsylvania launched an annual report in 2025 (Act 122 of 2022), scrapping the famous decennial report it used to require only once every ten years. LLCs now file by September 30 every year for $7. Because this is brand new, the large majority of 'Pennsylvania LLC' articles online still describe the obsolete decennial filing.

Pennsylvania-specific things to know
The first thing to unlearn: in Pennsylvania there is no registered agent. Your LLC instead provides a registered office — a real Pennsylvania street address (a PO box alone is refused). If you have a Pennsylvania address you're willing to make public, you can list it yourself. If you don't — because you're out of state, or you simply want privacy — you contract with a Commercial Registered Office Provider (CROP), and the provider's name is listed on your filing instead of an address. The Department of State is explicit that a CROP “is not the same as a Registered Agent”: it provides the office address, not legal agency. You must have a contract in place with the CROP before naming it — listing one without an agreement can carry civil and criminal penalties.
The second change is the big one for 2026. Under Act 122 of 2022, Pennsylvania replaced its decennial report with an annual report starting in 2025. Every LLC now files by September 30 each year (corporations file by June 30) for a $7 fee, through the Department of State's Business Filing Services at file.dos.pa.gov. Pennsylvania is phasing in enforcement — 2025 and 2026 are a grace period — but beginning with 2027 reports, an LLC that doesn't file faces administrative dissolution about six months after the deadline. Don't confuse this $7 annual report with the separate $700-per-member annual registration that applies only to restricted professional LLCs.
The rest is refreshingly light. Pennsylvania has no capital-stock or franchise tax (it was phased out after 2015), so owners just pay the flat 3.07% personal income tax on pass-through profits. There's no publication requirement for LLCs (unlike Pennsylvania corporations). And changing your registered office or CROP later is a $5 Statement of Change with the Department of State.
