Two stacked charges: $150 annual list + $200 state business license = $350/yr. The $425 filing total likewise bundles articles $75 + initial list $150 + license $200.

Why the $75 filing fee is really $425

Nevada's LLC fee schedule lists the Articles of Organization at $75, and that is the number the cheapest guides quote. But the formation packet itself says it in capitals: an initial list of officers must accompany this filing. The Initial List of Managers or Members is $150, and since 2009 the State Business License$200 a year for every entity type except corporations, which pay $500 — is applied for on the same form and must be paid with it. The Secretary of State's own FAQ answers the obvious question directly: no, the list and the licence cannot be filed separately. So the cheque that actually forms a Nevada LLC is $75 + $150 + $200 = $425, which is what our calculator uses, and it is the fourth-highest formation cost in the country. Filing online is immediate and carries no processing fee; mailed filings paid by card add 2.5%.

$350 a year, due by the last day of your anniversary month

Every year after, the Annual List ($150) and the State Business License renewal ($200) fall due together on the last day of the month in which the LLC was formed — the Initial List is due by the last day of the month following formation. Nevada has no personal or corporate income tax, so for most LLCs this $350 is the whole recurring state cost; the Commerce Tax applies only to businesses with more than $4 million of Nevada gross revenue. What makes Nevada unusual is how the state treats lateness. A list is late unless it is physically in the Secretary of State's care, custody and control by close of business on the due date — postmarks are not accepted — and a late list carries a $75 penalty while a late licence carries a separate $100 penalty. Miss the date by a day and $350 becomes $525. After a year in default the LLC is revoked, and reinstatement is $300 plus every back fee and penalty, licence included. Delaware, by comparison, charges $400 a year with no list; Wyoming $60. The privacy that Nevada sells for $350 — members off the public record — is the same privacy Wyoming sells for $60, and the Annual List still names your managers or managing members.

Two lines deserve attention. The $60 change of registered agent is on the high side — Wyoming charges $5, Florida $25 — so choose the agent carefully at formation. And the $100 dissolution is not optional bureaucracy: the FAQ is explicit that a Title 7 entity must file dissolution documents to stop the annual fees, that no part of a licence fee is refunded, and that the Secretary of State does not tell the Department of Taxation you have closed. An LLC that simply stops filing goes into default, then revocation, and the $350 keeps accruing with penalties until someone files the $100 form or pays $300 to bring it back. The exemption that doesn't apply to you

Nevada's licence law exempts a natural person who runs a business from home and earns no more than two-thirds of the state's average annual wage from it. Founders read that and assume a small home-based LLC qualifies. It does not: the exemption is for sole proprietors, and the Secretary of State's FAQ states that a single-member LLC is required to file an annual list and is therefore required to maintain the State Business License. The only LLC-adjacent exemption is for a natural person whose sole business is renting four or fewer dwelling units — and again that is the person, not an LLC holding the units.
